Welcome to Keyr. These Terms of Service (the “Terms”) are a legal agreement between you and KEYR TECHNOLOGY LTD (RC 9721785) of 60/64 Adeboye Sholanke, Off Allen Avenue, Beside Premium Trust Bank, Ikeja, Lagos State, Nigeria (“Keyr”, “we”, “us”). By creating an account or using the Keyr app or website (the “Platform”), you accept these Terms and our Privacy Policy, and — where they apply to you — the Tenancy Agreement, the Landlord (Property Management) Agreement and the Field Agent Agreement.

1. About Keyr

Keyr is a digital property platform that connects landlords, tenants and field agents, providing tools for listings, tenancy administration, rent collection and escrow, maintenance, inspections and communication. Keyr is a facilitator and platform; specific tenancy and management relationships are governed by the agreements referred to in Clause 3.

2. Eligibility and Accounts

  • You must be at least 18 years old and able to enter a binding contract.
  • Provide accurate, current information and complete identity verification (KYC), which may include your NIN/BVN.
  • Keep your login details secure; you are responsible for activity on your account.
  • Keyr may suspend or deactivate accounts that contain false or misleading information (Clause 16).

3. The agreements that apply to you (order of precedence)

These Terms incorporate the following by reference, each of which applies to the relevant user: the Privacy Policy; the Tenancy Agreement (tenants/landlords); the Landlord (Property Management) Agreement (landlords); and the Field Agent Agreement (field agents). If there is a conflict on a specific subject, the specific agreement prevails for that subject; otherwise these Terms govern.

4. Property Listings

  • Landlords and agents must provide accurate property information and genuine photos and documents, disclose material information, and confirm they have authority to let the property.
  • False or misleading listings are prohibited and may lead to removal and suspension.

5. Payments, Escrow and Settlement

  • Payments are made through Keyr's approved, licensed payment processor and are held in a segregated escrow account.
  • Tenants pay rent plus a 5% service fee in advance. Where the tenant pays monthly rather than annually in advance, a further convenience fee of 5% of the rent applies and is remitted to the landlord as their premium for accepting monthly payment (so a monthly tenant pays 110% of the rent, and an annual tenant 105%). Keyr settles landlords in arrears, net of fees and approved deductions, as set out in the Tenancy and Landlord Agreements.
  • Neither Keyr nor a landlord may demand rent in advance beyond the limit set by the applicable State tenancy law (one year for a yearly tenant).
  • Keyr is not responsible for payments made outside approved channels. Keep your receipts and records.

6. Caution / Security Deposits

  • The caution deposit (two months’ rent) is held in Keyr escrow throughout the tenancy and is not the landlord's money while held.
  • It is refunded within thirty (30) days of verified handover, less only documented damage beyond fair wear and tear that is evidenced by the Inspection Report and approved by Keyr admin.
  • Disputed deductions are resolved under Clause 18 using the Inspection Report as evidence.

7. Rent-Default Settlement Guarantee and Insurance

  • Where offered, Keyr's rent-default settlement guarantee and any building, public-liability or rent-default insurance are arranged through licensed insurance partners and governed by their own product terms.
  • Such cover is backed by a NAICOM-licensed insurer; Keyr acts as an arranger or intermediary and does not itself underwrite insurance risk. Cover does not extend to vacancy / zero-occupancy periods.

8. Maintenance

  • Submit maintenance requests through the Platform within 48 hours of discovering an issue. Keyr records, notifies, triages and arranges routine maintenance; emergencies affecting safety or habitability are prioritised.
  • Responsibility for structural/exterior repairs rests with the landlord, as set out in the Tenancy and Landlord Agreements.

9. Inspections and Access

  • Move-in, move-out and walkthrough inspections are conducted through the Platform and recorded in an Inspection Report.
  • A landlord may not enter, or arrange a walkthrough, without Keyr's authorisation, at least 48 hours' notice, and the presence of a Keyr representative, except in a genuine emergency.

10. Electronic Acceptance and Signatures

You agree that accepting these Terms and signing agreements electronically through the Platform (including via DocuSeal) is valid and binding, and that electronic signatures and records are admissible under the Evidence Act 2011.

11. Fees and Charges

  • Platform fees, agency, legal/agreement and service charges (5%), and field-agent commission are charged as set out in the applicable agreement or fee schedule.
  • Where required by law, Keyr may deduct and remit withholding tax (for example on field-agent commission).

12. Acceptable Use and Community Standards

  • Do not: engage in fraud or misrepresentation; upload false information; harass, threaten or abuse others; use the Platform for illegal activity; or interfere with others' use of the service.
  • Do not scrape, reverse-engineer, disrupt, or misuse the Platform or other users' personal data. Keyr has zero tolerance for misconduct.

13. Anti-Circumvention

You will not solicit, onboard or transact with a landlord, tenant or property introduced through Keyr outside the Platform, or divert any such opportunity away from Keyr, during your use of the Platform and for 12 months after.

14. Intellectual Property

  • The Platform, its content and software are owned by Keyr; you receive a limited, non-transferable licence to use them for their intended purpose.
  • You grant Keyr a licence to use the content and data you submit (listings, reports, photos) to operate and improve the services.

15. Privacy and Data Protection

  • Keyr processes personal data in accordance with the Nigeria Data Protection Act 2023 (NDPA) and the Privacy Policy, which forms part of these Terms.
  • Keyr is registered with the Nigeria Data Protection Commission (NDPC) where required and has appointed a Data Protection Officer (DPO), whose contact details are in the Privacy Policy.

16. Suspension and Termination

  • Keyr may suspend or terminate an account for fraud, false information, illegal conduct, abuse, or repeated breaches of these Terms.
  • Termination of an account does not end a tenancy already in place, which continues on its terms. Data is handled per the Privacy Policy on termination.

17. Limitation of Liability

  • Keyr is a facilitator and does not guarantee uninterrupted service. To the extent permitted by law, Keyr is not liable for: false information supplied by users; transactions outside approved channels; or events beyond our reasonable control.
  • Keyr is not liable for indirect or consequential loss, and its total liability is limited to the fees you paid Keyr in the twelve (12) months before the claim.
  • Nothing in these Terms excludes liability that cannot be excluded by law, including for death or personal injury caused by Keyr's negligence, or for fraud. These liability terms are drawn to your attention before you accept (FCCPA 2018).

18. Dispute Resolution

  • First, raise a complaint through the Platform; Keyr will conduct an internal review and online dispute resolution (ODR) within fourteen (14) days.
  • If unresolved, the dispute is referred to binding arbitration under the Arbitration and Mediation Act 2023, with Lagos as the seat. You also retain your right to complain to the Federal Competition and Consumer Protection Commission (FCCPC) or other regulator.

19. Indemnity

You will indemnify Keyr against claims, losses and costs arising from your breach of these Terms, your false or misleading information, or your unlawful use of the Platform.

20. Changes to these Terms

  • For minor changes, continued use of the Platform is acceptance.
  • For material changes, Keyr will notify you and require you to re-accept before you continue to use the affected services.

21. General

  • Governing law: the laws of the Federal Republic of Nigeria; tenancy matters are also governed by the tenancy law of the State where the property is situated.
  • Force majeure; no assignment by you without consent (Keyr may assign to a group company); severability; these Terms and the documents they incorporate are the entire agreement; notices are given through the Platform or to the contacts below.

Acknowledgement

By creating an account or using the Keyr app, you confirm that you have read and understood these Terms, agree to comply with them, and consent to the processing of your personal data in accordance with the NDPA 2023 and the Privacy Policy.
